Terms of Service

§ 01Introduction and the Parties

These Terms of Service (the "Terms") govern your access to and use of any website, application, service, or product operated by Planet B 21, LLC, a Wyoming limited liability company (referred to in these Terms as "Planet B 21," "we," "our," or "us"). This includes the website located at planetb21.com, the website located at cashtoha.sh (which is a consumer product brand of Planet B 21, LLC and not a separate company), the website located at hashsentinel.com (which is a B2B product brand of Planet B 21, LLC and not a separate company), and any application, dashboard, or API made available by us (collectively, the "Services").

By creating an account, purchasing capacity, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. In these Terms, "you" and "your" refer to the individual or entity that accepts these Terms and uses the Services.

§ 02Definitions

"Capacity" or "Hashrate" means a contracted amount of SHA-256 computational work, expressed in terahashes per second (TH/s), petahashes per second (PH/s), or exahashes per second (EH/s), delivered for a specified duration.

"Contract Period" means the duration for which Capacity is delivered following confirmation of your purchase, as specified at checkout.

"Customer Pool Account" means the Bitcoin mining pool account identifier you provide at checkout, which is controlled exclusively by you and to which all mining rewards generated by your purchased Capacity are routed directly by the Upstream Provider.

"Mining Rewards" means the Bitcoin rewards that may be generated by applying the Capacity to the Bitcoin network's consensus mechanism.

"Upstream Provider" means the third-party institutional provider from which Planet B 21 sources the Capacity delivered to you.

"AI Compute Credits" means prepaid digital credits for AI inference services, delivered as Cashu ecash tokens redeemable exclusively through the Routstr provider network.

"Cashu Token" means a privacy-preserving bearer token issued under the Cashu protocol, representing a fixed amount of AI compute credit. Cashu tokens are non-transferable and non-cash-convertible.

"Routstr" means the third-party decentralized AI inference routing network through which AI Compute Credits are redeemed.

"Products" means the digital compute products offered through the Services, currently including Hashrate and AI Compute Credits.

"Perishable Digital Products" has the meaning given in Section 5.

§ 03Eligibility

You may only use the Services if all of the following are true:

• You are at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher).

• You have the legal capacity to enter into a binding contract.

• You are not a resident of, and are not accessing the Services from, any jurisdiction subject to comprehensive sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or any jurisdiction where the Services are prohibited by local law.

• You are not on any U.S. or international sanctions or debarment list.

• You have not previously been suspended or removed from the Services.

To create an account and purchase our products, we require only: your name, email address, and a password. We screen this information against applicable sanctions lists (including OFAC SDN and related lists) for every transaction. We do not require government-issued identification, proof of address, or biometric verification for standard purchases. We reserve the right to request additional information or documentation if a transaction appears suspicious, violates our compliance policies, or is flagged by our risk monitoring systems. We may refuse service to any person for any lawful reason.

Our payment processors and fraud-prevention vendors may capture additional transaction data (including card BIN country, billing information via AVS, IP address, and device fingerprint) under their own privacy policies and controls; we do not separately store that data beyond what is needed for dispute and fraud response.

§ 04Nature of the Service; What You Are Buying

When you purchase through the Services, you are purchasing a specified digital compute Product. You are not purchasing:

• Bitcoin, any other digital asset, or any right to a specific amount of Bitcoin.

• A security, investment product, or financial instrument.

• A share in a mining pool, a partnership interest, or any ownership interest in Planet B 21 or any Upstream Provider.

• Mining hardware, or any right to mining hardware.

• A transferable digital asset, token, or NFT.

4.1 Hashrate

Hashrate is a perishable digital product representing a fixed amount of SHA-256 computing time delivered over a specified Contract Period. Mining Rewards are an uncertain and variable output of that product; they are not guaranteed, and their amount, timing, and value depend on factors outside our control (see Section 10).

4.2 AI Compute Credits

AI Compute Credits are non-transferable, non-cash-convertible digital tokens redeemable exclusively for AI inference services through our designated provider network (currently Routstr). They have no cash value, cannot be resold, transferred, or exchanged for fiat currency or Bitcoin, and are not refundable. AI Compute Credits are delivered as Cashu ecash tokens. The Cashu protocol uses blind signatures to preserve privacy — the token contains no personally identifiable information. You redeem tokens through our interface to access AI inference; we do not custody, process, or store your prompts, outputs, or inference data.

§ 05Products Are Perishable Digital Products

You acknowledge and agree that all Products are perishable digital products ("Perishable Digital Products"), meaning:

• The product is delivered in real time or upon purchase and is consumed as it is delivered.

• The product cannot be stored, deferred, resold, or recovered once delivery has commenced.

• Upon confirmation of your purchase, we have irrevocably committed resources (payments to Upstream Providers, allocation of infrastructure, or procurement of AI compute credits) that cannot be reversed.

You expressly consent to the immediate commencement of delivery of the Products upon purchase confirmation. You acknowledge that, as a consequence of that consent and the perishable nature of the Products, you waive any statutory right of withdrawal, cooling-off period, or similar right of cancellation to the maximum extent permitted by applicable law.

§ 06Non-Custodial Service Architecture

You acknowledge and agree that Planet B 21 operates a non-custodial product model.

6.1 Hashrate Reward Routing

• You provide a Customer Pool Account at checkout. That pool account is controlled exclusively by you; Planet B 21 has no access to, or control over, that account.

• All Mining Rewards generated by your Capacity are routed by the Upstream Provider directly to your Customer Pool Account. Planet B 21 does not receive, hold, or transmit your Mining Rewards.

It is your sole responsibility to maintain access to, and security over, your Customer Pool Account. We are not responsible for losses arising from compromise, misconfiguration, or loss of control of your Customer Pool Account.

6.2 AI Compute Credits

AI Compute Credits are delivered as Cashu tokens to your account dashboard. You redeem these tokens through our interface to access AI inference via Routstr. We do not custody, process, or store your prompts, outputs, or inference data. The redemption transaction occurs directly between your browser and the Routstr network; we are not an intermediary in the inference process.

6.3 Payment Flow

We do not custody customer fiat balances. Payments for the Products settle into our operating account as consideration for products sold; they are not customer deposits. We use our business revenue to procure hashrate and AI compute from third-party suppliers. At no point do we hold Bitcoin on behalf of clients.

§ 07Pricing, Payment, and Taxes

7.1 Pricing

Prices are displayed at checkout and include any applicable premium. A launch premium is applied to retail Capacity purchases during the initial rollout; the applicable premium is disclosed at checkout prior to purchase confirmation. Prices are quoted in U.S. dollars unless otherwise indicated.

7.2 Accepted payment methods

We accept payment through the following channels:

• Credit and debit cards, processed by Stripe, Inc.

• ACH direct debit, processed by Stripe, Inc.

• Wire transfer, for larger institutional orders.

• Bitcoin, on-chain, processed through BTCPay Server.

• Bitcoin via the Lightning Network, processed through Strike.

Payment method availability, per-method limits, and first-purchase ceilings may vary and are enforced at checkout.

7.3 Taxes

You are responsible for all taxes applicable to your purchase, except for taxes imposed on Planet B 21's net income. You are responsible for reporting and paying any income tax owed on Mining Rewards under the laws of your jurisdiction.

§ 08No Refunds; All Sales Final

Because the Products are Perishable Digital Products (see Section 5), ALL SALES ARE FINAL AND NON-REFUNDABLE. This applies equally to Hashrate and AI Compute Credits. Once your purchase is confirmed, you are not entitled to a refund, cancellation, or reversal, whether in fiat, Bitcoin, or any other form.

AI Compute Credits are consumed upon redemption and cannot be reversed. Unredeemed tokens remain in your account but have no cash value and cannot be exchanged for refunds.

This Section 8 does not limit any non-waivable statutory consumer rights you may have under applicable law.

§ 09Limited Service-Credit Policy

In the event of a verified delivery failure — meaning Capacity we contracted to deliver was, through our fault or the fault of the Upstream Provider, not delivered for a continuous period of more than twenty-four (24) hours within the Contract Period — we may, at our sole discretion, issue a service credit to your Planet B 21 account. Service credits:

• Are issued only as non-transferable credit usable toward a future purchase of Services.

• Are not exchangeable for cash, Bitcoin, or any other form of refund.

• Expire twelve (12) months after issuance.

• Are our sole and exclusive remedy for any verified delivery failure.

To request a service credit, contact hello@planetb21.com within thirty (30) days of the event, providing account information and sufficient detail for us to investigate.

§ 10Risk Disclosures

You acknowledge and accept the following risks associated with the Services:

• Mining profitability is variable. The value of Mining Rewards depends on the Bitcoin price, the Bitcoin network difficulty, transaction fees, pool performance, and other factors, all of which are outside our control and may cause Mining Rewards to be less than the purchase price of Capacity.

• No guaranteed return. We do not guarantee any specific amount, value, or frequency of Mining Rewards. You may receive Mining Rewards worth less than you paid for Capacity. You may, in adverse network conditions, receive minimal or no Mining Rewards for a given interval.

• Network risk. The Bitcoin network may undergo technical changes, forks, or failures that affect Capacity output.

• Regulatory risk. The legal and regulatory treatment of Bitcoin mining varies by jurisdiction and may change.

• Upstream provider risk. Our ability to deliver Capacity depends on Upstream Providers. We select Upstream Providers with care, but we are not liable for Upstream Provider failures beyond the service-credit remedy in Section 9.

• Custody of rewards. Because rewards are routed directly to your Customer Pool Account, loss of access to that account results in loss of rewards. We cannot recover rewards sent to a wallet or pool account you do not control.

• AI inference variability. The quality, availability, and output of AI models accessed through Routstr are determined by third-party providers and are outside our control. We do not guarantee the performance, accuracy, or availability of any specific AI model.

• No guaranteed utility. AI Compute Credits are consumed upon redemption regardless of whether the inference request completes successfully or produces useful output. Provider downtime, model changes, or network issues may affect redemption.

• Cashu token risks. Cashu tokens rely on the operational availability of the issuing mint and the Routstr network. If the mint or Routstr network becomes permanently unavailable, unredeemed tokens may become inaccessible. This risk is inherent to the Cashu protocol and the decentralized nature of the service.

§ 11Acceptable Use

You agree that you will not, and will not permit any third party to:

• Use the Services in violation of any applicable law, regulation, or sanctions program.

• Use the Services for money laundering, terrorist financing, or to evade tax obligations.

• Use the Services to purchase Capacity on behalf of any person or entity prohibited from using the Services.

• Misrepresent your identity, provide false information during verification, or use payment instruments you do not have authority to use.

• Attempt to reverse-engineer, probe, disrupt, or interfere with the Services or any associated systems.

• Use the Services to target the Bitcoin network for any malicious purpose, including selfish mining, hashrate withholding attacks, or network disruption.

§ 12Chargebacks and Payment Disputes

Because the Services are a Perishable Digital Service with no refunds (Sections 5 and 8), chargebacks and payment reversals are a serious matter. If you have a concern about a charge, you agree to contact us at hello@planetb21.com before initiating a chargeback or payment dispute with your bank or card issuer. We will work with you in good faith to resolve legitimate concerns, including through the service-credit mechanism in Section 9 where applicable.

You agree that the initiation of a chargeback or payment reversal that we, in our reasonable judgment and with supporting evidence, consider to be unjustified — including chargebacks seeking a refund for duly delivered Capacity or Mining Rewards that underperformed expectations — is a material breach of these Terms. In such a case we may:

• Immediately suspend or terminate your account.

• Provide documentation to the acquiring bank, card network, and processor sufficient to contest the chargeback (including verification records, delivery logs, and these Terms).

• Recover from you, as liquidated damages, the disputed amount plus any chargeback fee, processing cost, and reasonable costs of dispute representation.

• Refer the matter to collections or report the matter to relevant fraud databases as permitted by law.

§ 13Suspension and Termination

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud, violated applicable law, or created risk or legal exposure for us or our counterparties. Termination does not entitle you to any refund, and any unused prepaid Capacity balance is forfeited, except to the extent refund or restitution is required by non-waivable law.

You may close your account at any time by contacting support. Closure does not entitle you to a refund of prior purchases. Customer records are retained in accordance with Section 14.

§ 14Privacy and Data

Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Customer records, including verification records and transaction records, are retained for at least five (5) years after account closure to meet our internal compliance obligations and reasonable requests from payment processors and regulators.

§ 15Intellectual Property

All content, trademarks, logos, software, and materials available through the Services are owned by Planet B 21 or our licensors and are protected by intellectual property law. You may not copy, modify, distribute, or create derivative works of our materials except as expressly permitted by us in writing or by applicable law.

§ 16Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANET B 21 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE FOR YOU.

§ 17Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANET B 21'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO PLANET B 21 FOR THE SPECIFIC CAPACITY PURCHASE GIVING RISE TO THE CLAIM IN THE NINETY (90) DAYS PRECEDING THE EVENT. IN NO EVENT WILL PLANET B 21 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST MINING REWARDS, LOST OPPORTUNITY, OR LOSS OF BITCOIN VALUE.

§ 18Governing Law; Arbitration; Class-Action Waiver

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Wyoming. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND PLANET B 21 AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial and to participate in a class action.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to enforce Section 12.

§ 19Indemnification

You agree to indemnify and hold harmless Planet B 21 and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your breach of these Terms, (c) your violation of any law or the rights of a third party, or (d) any chargeback or payment dispute you initiate in breach of Section 12.

§ 20Modifications to the Terms

We may modify these Terms at any time by posting an updated version at planetb21.com/terms, at cashtoha.sh/terms, and at hashsentinel.com/terms. Material changes will be communicated by email or in-product notice. Continued use of the Services after the effective date of the updated Terms constitutes acceptance.

§ 21Miscellaneous

These Terms, together with any policies referenced herein, constitute the entire agreement between you and Planet B 21 regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms freely. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Planet B 21.
